Certificate of Incorporation (Extrait Kbis)
Proof that the company has been legally formed and registered as a corporate entity. It confirms the company's name, registration number, date of incorporation, and legal form.
Extrait Kbis is issued by the Greffe du Tribunal de Commerce (Commercial Court Registry) and is the French equivalent of a Certificate of Incorporation. You did not receive this document at the time of incorporation as a permanent document; it must be requested each time it is needed, as it reflects your company's current registration status. You can obtain it online within minutes via infogreffe.fr or via monidenum.fr. Please note that we require it to be dated within 90 days of your submission to us.
Articles of Association (Statuts de la société)
The founding document that defines the company's purpose, structure, and internal governance rules. It acts as the company's legal constitution and was signed at the time of incorporation.
These are the founding documents you signed when your company was incorporated. This is a historical document that does not expire. For most French companies (SARL, SAS, SA), this is a private document; you do not need a notary to certify it. You simply need to provide us with a copy signed by the founding shareholders or the legal representative of the company, dated within 90 days.
Register of Directors (Extrait Kbis (dirigeants section) / Liste des dirigeants)
A formal record of the individuals legally authorised to manage and represent the company. It confirms who holds executive responsibility and signing authority.
In France, the directors and legal representatives of your company are listed directly on your Extrait Kbis, so the same document you provide for the Certificate of Incorporation will also cover this requirement. Please ensure the Kbis you submit is dated within 90 days, as it must reflect your current leadership.
Register of Shareholders (Registre des associés / Registre des mouvements de titres)
A record of who owns the company and in what proportion. It identifies the ultimate beneficial owners and their respective shareholdings.
You will need to provide a certified extract from this register, listing all current shareholders and their ownership percentages. This extract must be signed by your legal representative or by your Corporate Secretary if applicable. The extract must be dated within 90 days of your submission.
Certificate of Good Standing - Optional
Confirmation that the company is legally active, compliant, and in good standing with relevant authorities. It assures third parties that the company has not been dissolved or struck off.
You can use the Extrait Kbis as a Certificate of Good Standing.
Also, you can use an Attestation de régularité fiscale issued by the Direction Générale des Finances Publiques (DGFiP). The Attestation can be requested via your professional tax account on impots.gouv.fr. Both documents must be dated within 90 days of your submission to us.
Shareholders:
Each shareholder who owns more than 5% will have their identity checked (KYC). Once you have submitted your business documents, you will add the shareholders.
Each shareholder will receive an email to complete their KYC. They will need to upload their passport and proof of address dated within the last 3 months.
Once all business documentation and shareholders' identities have been checked, your account will be approved. Usually taking 1-3 business days.
