Certificate of Incorporation (Certificat de Înregistrare)
Proof that the company has been legally formed and registered as a corporate entity. It confirms the company's name, registration number, date of incorporation, and legal form.
You received this document from the Oficiul Național al Registrului Comerțului (ONRC) at the time of incorporation. It contains your company's registration number (CUI) and is a historical document. If you no longer have it, you can request a certified copy via onrc.ro or at any ONRC territorial office. It must carry the official ONRC stamp. The date on it will be your incorporation date.
Articles of Association (Act Constitutiv)
The founding document that defines the company's purpose, structure, and internal governance rules. It acts as the company's legal constitution and was signed at the time of incorporation.
This is the founding document you signed at the time of incorporation. You and the other founding associates signed it directly. You can provide us with the copy you hold, signed by the founding associates or legal representative. If you no longer have it, a certified copy can be requested from the ONRC. This is a historical document; the date on it will be your incorporation or amendment date.
Register of Directors
A formal record of the individuals legally authorised to manage and represent the company. It confirms who holds executive responsibility and signing authority.
This is the key document in Romania for confirming your company's current directors and legal representatives. It is issued by the ONRC and reflects the current state of your registration, including your administrators and their powers. It is not issued at incorporation and must be requested each time it is needed. You can obtain it via onrc.ro or at any ONRC territorial office. It must carry the official ONRC stamp. This document must be dated within 90 days of your submission to us.
Register of Shareholders
A record of who owns the company and in what proportion. It identifies the ultimate beneficial owners and their respective shareholdings.
The Shareholders' register is an internal document maintained by the company. You will need to provide a certified extract from it, signed by the administrator (legal representative) of the company, clearly listing all current associates and their ownership percentages. This document must be dated within 90 days of your submission to us.
Certificate of Good Standing - Optional
Confirmation that the company is legally active, compliant, and in good standing with relevant authorities. It assures third parties that the company has not been dissolved or struck off.
You can use the Certificat Constatator (used for the Register of Directors).
Shareholders:
Each shareholder who owns more than 5% will have their identity checked (KYC). Once you have submitted your business documents, you will add the shareholders.
Each shareholder will receive an email to complete their KYC. They will need to upload their passport and proof of address dated within the last 3 months.
Once all business documentation and shareholders' identities have been checked, your account will be approved. Usually taking 1-3 business days.
