Certificate of Incorporation (Certificat d'inscripció al Registre de Societats)
Proof that the company has been legally formed and registered as a corporate entity. It confirms the company's name, registration number, date of incorporation, and legal form.
This document is issued by the Registre de Societats (Companies Registry) of Andorra at the time of incorporation. It is a historical document that does not expire. If you no longer have it, you can request a certified copy from the Registre de Societats directly. It must carry the official registry stamp. This is a historical document; the date on it will be your incorporation date.
Articles of Association
The founding document that defines the company's purpose, structure, and internal governance rules. It acts as the company's legal constitution and was signed at the time of incorporation.
In Andorra, incorporation requires the involvement of a notary, so your Estatuts Socials will have been notarized at the time of incorporation. You received this document from your founding notary. If you no longer have it, contact your founding notary to request a certified copy. It must be signed by both the notary and the founding shareholders or legal representative. This is a historical document; the date on it will be your incorporation or amendment date.
Register of Directors
A formal record of the individuals legally authorised to manage and represent the company. It confirms who holds executive responsibility and signing authority.

This document must be dated within 90 days of your submission to us.
Register of Shareholders
A record of who owns the company and in what proportion. It identifies the ultimate beneficial owners and their respective shareholdings.
If your Certificat d'inscripció al Registre de Societats explicitly lists all current shareholders and their ownership percentages, you can submit it directly for this requirement, and no additional document is needed. If it does not contain full shareholder details, you will need to provide a self-prepared document listing all current shareholders with their full name, address, nationality, country of residence, and ownership percentage, signed by the owner or legal representative. This document must be dated within 90 days of your submission to us.
Certificate of Good Standing - Optional
Confirmation that the company is legally active, compliant, and in good standing with relevant authorities. It assures third parties that the company has not been dissolved or struck off.
Andorra does not issue a standalone Certificate of Good Standing, but the Certificat de vigència i càrrecs issued by the Registre de Societats serves a dual purpose; it confirms both that your company is active and lists your current directors. This document must be dated within 90 days of your submission to us.
Shareholders:
Each shareholder who owns more than 5% will have their identity checked (KYC). Once you have submitted your business documents, you will add the shareholders.
Each shareholder will receive an email to complete their KYC. They will need to upload their passport and proof of address dated within the last 3 months.
Once all business documentation and shareholders' identities have been checked, your account will be approved. Usually taking 1-3 business days.
