Certificate of Incorporation (Certidão Permanente da Empresa)
Proof that the company has been legally formed and registered as a corporate entity. It confirms the company's name, registration number, date of incorporation, and legal form.
This document is not issued once at incorporation and kept permanently; it must be requested each time it is needed, as it reflects your company's current registration status. You can obtain it here. It is accessible online using your company's access code and must carry the official registry stamp. This document must be dated within 90 days of your submission to us.
Articles of Association (Contrato de Sociedade / Pacto Social)
The founding document that defines the company's purpose, structure, and internal governance
This is the founding document that defines your company's purpose, structure, share capital, and governance rules. It is signed by the founding shareholders or the legal representative directly. You received this document at the time of incorporation. If you no longer have it, a certified copy can be requested from the Conservatória do Registo Comercial, where your company is registered. It must be signed by the founding shareholders or a legal representative. This is a historical document; the date on it will be your incorporation.
Register of Directors (Certidão Permanente da Empresa)
A formal record of the individuals legally authorised to manage and represent the company. It confirms who holds executive responsibility and signing authority.
Directors and legal representatives of Portuguese companies are listed directly on the Certidão Permanente da Empresa, so the same document you provide for the Certificate of Incorporation will also cover this requirement. Please ensure the document you submit is dated within 90 days of your submission to us, as it must reflect your current directors and their powers.
Register of Shareholders RCBE (Registo Central do Beneficiário Efetivo) / Lista de Sócios / Registo de Acionistas)
A record of who owns the company and in what proportion. It identifies the ultimate beneficial owners and their respective shareholdings.
The easiest and most reliable option for this requirement is to provide your RCBE extract, which is a mandatory public register maintained by the Instituto dos Registos e do Notariado (IRN). It officially lists all beneficial owners of the company, their nationality, country of residence, and ownership percentages, and carries an official government stamp. You can obtain it via rcbe.justica.gov.pt. This document must be dated within 90 days of your submission to us.
Certificate of Good Standing - Optional
Confirmation that the company is legally active, compliant, and in good standing with relevant authorities. It assures third parties that the company has not been dissolved or struck off.
You can use the Certidão Permanente da Empresa
Shareholders:
Each shareholder who owns more than 5% will have their identity checked (KYC). Once you have submitted your business documents, you will add the shareholders.
Each shareholder will receive an email to complete their KYC. They will need to upload their passport and proof of address dated within the last 3 months.
Once all business documentation and shareholders' identities have been checked, your account will be approved. Usually taking 1-3 business days.
